Terms of Service

By accessing the website www.allinpacks.com (the "Site") or by placing an order, requesting a quotation, or otherwise transacting with All-in Pack Co., Ltd. ("All-in Pack", "we", "us"), you ("Customer", "Buyer", "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

These Terms apply to business-to-business (B2B) transactions only. By accepting them, you represent that you are acting in the course of a trade, business, or profession, and not as a consumer.

If you do not agree, you must not use the Site or purchase from us.

• "Goods" means stamping foils, self-adhesive materials, post-press equipment, and any other products supplied by All-in Pack.
• "Order" means a written purchase order, signed proforma invoice, or sales contract.
• "Incoterms" means Incoterms® 2020 published by the International Chamber of Commerce.
• "Confidential Information" means non-public technical, commercial, or pricing information disclosed by either party.

You agree to use this Site only for lawful purposes. You agree not to:

• Reproduce, scrape, or systematically extract content for commercial use without written permission.
• Submit false or misleading information through any contact or distributor application form.
• Introduce viruses, malware, or attempt to gain unauthorized access to our systems.
• Use automated means (bots, crawlers) other than legitimate search engines.

We reserve the right to suspend access for any party in breach of these Terms.

Product descriptions, technical specifications, photographs, and dimensions on the Site are provided for reference only. Slight variations in color, finish, thickness, or batch may occur due to the nature of industrial materials and are not considered defects.

Custom-made or OEM goods (custom foil colors, branded label designs, modified machinery) require written approval of pre-production samples before mass production. Once approved, custom goods cannot be cancelled or returned.

All technical specifications shown on the Products page are typical values. Final binding specifications are those listed in the signed proforma invoice or sales contract.

• Quotations are valid for 30 days from issue date unless otherwise stated, and are not binding until confirmed by signed proforma invoice.
• An Order is accepted only when All-in Pack issues a written order confirmation or signed proforma invoice.
• Minimum Order Quantity (MOQ) applies per product line and is stated in the quotation.
• Cancellation of confirmed standard-stock orders is permitted within 7 days of confirmation, subject to a 5% restocking fee. Cancellation of custom or in-production orders is not permitted.

Pricing

• Prices are quoted in US Dollars (USD) unless otherwise agreed.
• Prices exclude VAT, customs duties, and import taxes in the destination country, which are the Buyer's responsibility.
• Prices may be revised for orders placed more than 30 days after quotation.

Payment

Late payments accrue interest at 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend deliveries on overdue accounts.

• Default delivery term is FOB Shanghai or Ningbo per Incoterms® 2020. Other terms (CIF, DAP, DDP, EXW) available on request.
• Delivery dates are estimates only and depend on full payment of deposit, raw material availability, and production schedule.
• Title to the Goods passes to the Buyer upon receipt of full payment.
• Risk of loss passes per the agreed Incoterm (e.g., at the ship's rail for FOB).
• Buyer is responsible for arranging marine cargo insurance unless DDP terms are agreed.

All-in Pack warrants that the Goods will:

• Conform to the agreed specifications stated in the proforma invoice.
• Be free from defects in material and workmanship under normal storage and use.

Materials warranty: 12 months from production date for foils and adhesive materials, when stored at 18–25°C and 45–65% RH.

Equipment warranty: 12 months from delivery date for post-press machinery (excluding consumables and wear parts).

Our liability under this warranty is limited to, at our option: (a) replacement of the defective goods, (b) credit note, or (c) refund of the purchase price of the affected goods. We are not liable for consequential losses, downtime, or third-party costs (see Section 13).

• All trademarks, logos, product designs, technical drawings, photographs, and text on the Site are owned by All-in Pack or used with permission.
• You may not reproduce or distribute Site content for commercial purposes without prior written consent.
• For OEM/private-label orders: you warrant that any artwork, designs, or trademarks you provide do not infringe third-party rights, and you will indemnify us against any related claims.
• Custom dies, plates, or tooling produced for your orders remain our property unless purchased separately.

Both parties agree to keep Confidential Information (pricing, technical drawings, customer lists, formulations) strictly confidential and use it only for the purposes of the business relationship. This obligation survives termination for 5 years.

A separate Mutual Non-Disclosure Agreement (NDA) is available on request for sensitive projects.

Buyer represents and warrants that:

• It is not a "Specially Designated National" (SDN) or otherwise subject to sanctions by the UN, EU, UK, or US OFAC.
• It will not re-export or divert the Goods to any sanctioned destination including but not limited to North Korea, Iran, Syria, Cuba, or Crimea/Donetsk/Luhansk regions.
• It will comply with all applicable export, re-export, and import regulations.

All-in Pack reserves the right to refuse orders that may violate Chinese export laws or international sanctions.

Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, war, terrorism, pandemics, government action, raw material shortages, port closures, or cyber-attacks. The affected party will notify the other within 7 days and resume performance as soon as practicable.

To the maximum extent permitted by law:

• All-in Pack's total aggregate liability for any claim arising out of or related to the Goods or these Terms shall not exceed the total invoice value of the specific Order giving rise to the claim.
• We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profit, loss of business, downtime, or reputational damage.
• Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Buyer agrees to indemnify and hold All-in Pack harmless from any third-party claims, losses, or expenses (including reasonable legal fees) arising from: (a) Buyer's misuse of the Goods, (b) Buyer-supplied artwork or specifications that infringe IP rights, (c) Buyer's breach of these Terms or applicable law.

Either party may terminate the business relationship with 30 days' written notice. All-in Pack may immediately suspend or terminate orders if the Buyer:

• Fails to pay invoices when due;
• Becomes insolvent, files for bankruptcy, or enters liquidation;
• Materially breaches these Terms.

Confirmed orders, payment obligations, and warranty terms survive termination.

These Terms and any dispute arising out of or in connection with them are governed by the laws of the People's Republic of China, excluding its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

All disputes shall first be addressed through good-faith negotiation. If unresolved within 60 days, disputes shall be finally settled by arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Shanghai, in accordance with CIETAC arbitration rules. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.

We may update these Terms from time to time. The updated version will be posted on the Site with a new "Last updated" date. Material changes will be notified to active customers by email at least 30 days before they take effect. Continued use of the Site or placement of new orders after the effective date constitutes acceptance.
